Terms and Conditions of Supply

1. Introduction
These Terms and Conditions of Supply (“Terms”) govern the supply of goods and related services by Aurea Trade Group (“we”, “our”, “us”) to business customers.
By requesting a quotation or placing an order with Aurea Trade Group, the customer agrees to be bound by these Terms unless otherwise agreed in writing.

3. Business Customers Only
Aurea Trade Group supplies products and services exclusively to business customers, including wholesalers, distributors, retailers, food service operators, importers and exporters.
We do not supply products for private consumer use.
4. Quotations
All quotations:
- are provided without obligation;
- are subject to product availability;
- may be amended or withdrawn before acceptance;
- remain valid only for the period specified in the quotation.
5. Formation of Contract
Submitting a Request for Quote does not create a legally binding agreement.
A contract is formed only when:
- Aurea Trade Group issues a written quotation;
- the customer accepts that quotation;
- Aurea Trade Group confirms the order in writing.
Until written confirmation has been issued, Aurea Trade Group shall have no obligation to supply any goods.
6. Prices
Unless otherwise stated:
- all prices are quoted in Pound Sterling (GBP £);
- prices may exclude VAT, customs duties, import taxes, freight, insurance and other applicable charges;
- the quotation will specify which costs are included.
7. Payment
Unless otherwise agreed in writing:
- payment must be made 100% before shipment;
- alternative payment arrangements must be confirmed in writing by Aurea Trade Group;
- orders will not be released for shipment until payment has been received.
8. Product Availability
All products are offered subject to:
- supplier availability;
- manufacturing schedules;
- seasonal availability;
- force majeure;
- transport availability.
We reserve the right to modify or cancel an order if products become unavailable before dispatch.
9. Product Specifications
Product descriptions, photographs, packaging, weights, dimensions, certifications and technical specifications are provided for general information only.
Final specifications shall be those confirmed by the manufacturer and agreed within the commercial documentation relating to the order.
10. Supplier Information
Aurea Trade Group relies on information, specifications, certifications and documentation supplied by manufacturers and third-party suppliers.
While we take reasonable care in selecting reliable suppliers, we cannot guarantee the absolute accuracy, completeness or ongoing validity of information provided by third parties.
Customers remain responsible for ensuring that the goods are suitable for their intended purpose and comply with all applicable legal and regulatory requirements in the destination country unless otherwise expressly agreed in writing.
11. Delivery
Delivery dates are estimates unless expressly agreed otherwise.
Delays caused by manufacturers, freight forwarders, customs authorities, transport providers or events beyond our reasonable control shall not constitute a breach of contract.
12. Incoterms
The applicable Incoterms® shall be specified in each quotation, order confirmation or commercial invoice.
Responsibility for costs, risks and delivery obligations shall be determined according to the agreed Incoterm.
13. Inspection and Claims
Customers should inspect all goods immediately upon delivery.
Any visible shortages, transport damage or discrepancies should be reported in writing as soon as reasonably possible after receipt of the goods.
Failure to notify us promptly may affect our ability to investigate or pursue claims with suppliers, carriers or insurers.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Aurea Trade Group shall not be liable for:
- indirect losses;
- consequential losses;
- loss of profit;
- loss of business;
- loss of contracts;
- loss of goodwill;
- loss of reputation.
Our total liability arising from any claim shall not exceed the value of the relevant order.
Nothing in these Terms excludes or limits liability where such exclusion is prohibited by law.
15. Force Majeure
Neither party shall be liable for delays or failure to perform obligations resulting from events beyond reasonable control, including but not limited to:
- natural disasters;
- fire;
- flood;
- war;
- terrorism;
- strikes;
- pandemics;
- governmental restrictions;
- customs delays;
- transport disruptions;
- supplier failures.
16. Intellectual Property
All trademarks, trade names, logos, documents, photographs, graphics and other intellectual property displayed on this Website remain the property of Aurea Trade Group or their respective owners.
No licence or ownership rights are transferred to customers unless expressly agreed in writing.
17. Confidentiality
Commercial quotations, pricing, product information and business documentation supplied by Aurea Trade Group should be treated as confidential unless disclosure is required by law or expressly authorised in writing.
18. No Agency
Nothing in these Terms and Conditions shall be interpreted as creating any partnership, joint venture, agency, employment or fiduciary relationship between Aurea Trade Group and the customer.
Each party acts as an independent business entity and has no authority to bind or represent the other unless expressly agreed in writing.
19. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
