Terms and Conditions of Supply

1. Introduction

These Terms and Conditions of Supply (“Terms”) govern the supply of goods and related services by Aurea Trade Group (“we”, “our”, “us”) to business customers.

By requesting a quotation or placing an order with Aurea Trade Group, the customer agrees to be bound by these Terms unless otherwise agreed in writing.

We do not supply products for private consumer use.

Aurea Trade Group relies on information, specifications, certifications and documentation supplied by manufacturers and third-party suppliers.

While we take reasonable care in selecting reliable suppliers, we cannot guarantee the absolute accuracy, completeness or ongoing validity of information provided by third parties.

Customers remain responsible for ensuring that the goods are suitable for their intended purpose and comply with all applicable legal and regulatory requirements in the destination country unless otherwise expressly agreed in writing.


11. Delivery

Delivery dates are estimates unless expressly agreed otherwise.

Delays caused by manufacturers, freight forwarders, customs authorities, transport providers or events beyond our reasonable control shall not constitute a breach of contract.


12. Incoterms

The applicable Incoterms® shall be specified in each quotation, order confirmation or commercial invoice.

Responsibility for costs, risks and delivery obligations shall be determined according to the agreed Incoterm.


13. Inspection and Claims

Customers should inspect all goods immediately upon delivery.

Any visible shortages, transport damage or discrepancies should be reported in writing as soon as reasonably possible after receipt of the goods.

Failure to notify us promptly may affect our ability to investigate or pursue claims with suppliers, carriers or insurers.


14. Limitation of Liability

To the fullest extent permitted by applicable law, Aurea Trade Group shall not be liable for:

Commercial quotations, pricing, product information and business documentation supplied by Aurea Trade Group should be treated as confidential unless disclosure is required by law or expressly authorised in writing.


18. No Agency

Nothing in these Terms and Conditions shall be interpreted as creating any partnership, joint venture, agency, employment or fiduciary relationship between Aurea Trade Group and the customer.

Each party acts as an independent business entity and has no authority to bind or represent the other unless expressly agreed in writing.


19. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
